Thank you for using Supersonic Sites®! Please read these terms of use (the “Terms”) carefully. These terms contain important information about your legal rights, remedies and obligations. By accessing or using the Supersonic Sites framework, you agree to comply with and be bound by these terms and all applicable laws and regulations.

These terms of use (these “Terms”) constitute a legally binding agreement (the “Agreement”) between you and Supersonic Sites®. (“Supersonic”, the “Company”, “we”, “us”, or “our”) governing access to and use of the Supersonic website and web-application at www.supersonicsites.com, including any subdomains thereof, and any other websites through which Supersonic makes its services available (together, the “Website”), including any applicable web, mobile, tablet or other smart-device applications, and application program interfaces (collectively, the "Framework") and all associated services.

Our collection and use of personal information in connection with your access to and use of the Supersonic Sites® Framework is described in our Privacy Policy. You must read, agree to, and accept all of the terms and conditions contained in this Agreement to be a User of our Website located at www.supersonicsites.com or any part of the rest of the Website or Framework.

This Agreement includes and hereby incorporates by reference the following important agreements, as they may be in effect and modified from time to time: our Privacy Policy; and the Default Retainer as applicable to any Website or Marketing Services provided over the framework. These agreements are collectively, with this Agreement, called the “Terms of Service”.

Subject to the conditions set forth herein, Supersonic Sites® may, in its sole discretion, amend this Agreement and the other Terms of Service at any time by posting a revised version on the Site. Supersonic will provide reasonable advance notice of any amendment that includes a Substantial Change (defined below), by posting the updated Terms of Service on the Site, providing notice on the Site, and/or sending you notice by email. If the Substantial Change includes an increase to Fees charged by Supersonic Sites®, Supersonic Sites® will provide at least 30 days’ advance notice of the change, but may not provide any advance notice for changes resulting in a reduction in Fees or any temporary or promotional Fee change. Any revisions to the Terms of Service will take effect on the noted effective date (each, as applicable, the “Effective Date”).

YOU UNDERSTAND THAT BY USING THE FRAMEWORK AFTER THE EFFECTIVE DATE, YOU AGREE TO BE BOUND BY THE TERMS OF SERVICE, INCLUDING THE ARBITRATION PROVISION OF THIS AGREEMENT (SUBJECT TO YOUR RIGHT TO OPT OUT OF THE ARBITRATION PROVISION). IF YOU DO NOT ACCEPT THE TERMS OF SERVICE IN ITS ENTIRETY, YOU MUST NOT ACCESS OR USE THE FRAMEWORK  AFTER THE EFFECTIVE DATE EXCEPT AS MAY BE PERMITTED HEREIN.

IF YOU AGREE TO THE TERMS OF SERVICE ON BEHALF OF AN ORGANIZATION, OR IN CONNECTION WITH PROVIDING OR RECEIVING WEBSITE OR MARKETING SERVICES ON BEHALF OF AN ORGANIZATION, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ORGANIZATION TO THE TERMS OF SERVICE AND AGREE THAT YOU ARE BINDING BOTH YOU AND THAT ORGANIZATION TO THE TERMS OF SERVICE. IN THAT EVENT, “YOU” AND “YOUR” WILL REFER AND APPLY TO YOU AND THAT ORGANIZATION.

Summary

In this agreement you will not find any complicated legal terms or long passages of unreadable text. This is a simple, yet direct contract. We will always do our best to fulfill your needs and try to exceed your expectations. This agreement is simply to help all concerned parties know what is expected and who is responsible for each item that is set out as per this agreement. This agreement also makes clear that in the rare event something does go wrong, what the protocol for dismissal for all parties is and the responsibilities of each party.

Responsibilities of Each Party

The client has the authority to enter into this agreement on behalf of themselves, including all segments of the company and the organization itself. The individual(s) and or company will provide us with everything requested to complete the project as needed and, in the format, required. Client will review the work; provide feedback and approval in a timely manner. All parties will also be bound by dates in which we will set together and agree to stick to. This includes the payment schedule set out and invoiced.
We have complete confidence that as a team, we possess not only the experience and ability to do everything that we’ve agreed upon but that we can assure our clients, without hesitation, that we will strive to create the image that our clients aspire to.

Supersonic Sites will perform all tasks professionally and in a timely manner to ensure that we meet all deadlines. As well we will meet any and all expectations that you as a client expect of a qualified experienced team such as Supersonic Sites.

Project Goals

Build a stunning mobile responsive site that adheres to agreed branding. Site to use clean well-developed code, top security and optimized for blazing fast speeds.

Project Deliverables

Supersonic Sites agrees to provide the following services for the purpose of achieving a comprehensive and quality set of services:

Website:

  • Responsive mobile ready website for iPhones/iPads/Android
  • Optimized top of the line website hosting setup for speed (helps with Google ranking) and redundancy to ensure your site stays online.
  • Use custom frameworks to build essential page (or single page), ie: Home, About, Services, Gallery, Contact, Privacy Page links.
  • Setup site online contact form with emailing service.
  • Set DNS & domain name records correctly.
  • Set up and submit to Google a correctly structured sitemap.xml (so site gets indexed by Google and shows up in search results).
  • Domain name account transfer or full set up as required (domains are appx $20+ per year and client owns and pays for their domain name).
  • Simple Link to Supersonic Sites at bottom of site.
  • Collect High Definition larger photos for HD displays (optimized for online speed, Photoshopped colorized/sharpened and cropped – over 1000+ screen sizes now)
  • Backups - Setup multi service backup archive and regular site backups.
  • Website security hardened.
  • Set up CDN cloud-based firewall service for security, speed and uptime.
  • If required, redirections of previous website done properly – (Includes Redirects), so no Google rank lost and implement tracking service for redirects
  • SEO - Research keywords for SEO planning and Google ranking
  • SEO - website with keyword optimized descriptions
    § SEO - Schema.org – Google now uses this code for rank & indexing
    § Setup Google Acct for Google Services / Google Webmaster Tools for website indexing & monitoring (needed for SEO & rank in Google Search)
  • Setup Google Analytics (Tracking reports).
  • Setup as required language translation for users (may require additional expense).
  • Google Map for directions embedded in site.
  • Graphic Design & Copywriting:
  • Graphic design (load brands proper LOGO that is sharp, clean and fast loading) as required, and basic copywriting/call to actions for website in alignment with brand.
  • Social Media:
  • Ensure all Social Media channels are linked correctly on website.

Revisions

Standard terms: After any site is initially presented and delivered, we have factored and included for clients two additional revision requests. Should you require additional revisions, they will be billed at a rate of $125/hr. New work requested by client and performed by contractor after a proposal has been approved by client is considered a revision or alteration. If the requested revision alters the specifications described in the original proposal such that the cost of the work changes, we will submit a proposal revision memo to you, and a revised fee must be agreed to by both parties before further work proceeds.

Content Creation

Our understanding is client will provide the majority of content from or for the current site and marketing materials. Should you require extensive content to be created or edited it will be billed at a rate of $125/hr. Copywriting service providers are very beneficial and often recommended.

Additional

These services, listed above, will include all email, phone or online video consultations, client follow up, research, preparation and transmission of materials, documentation and information for implementation. All data and private info provided will be kept confidential and secure.
All items listed above, are included, and are based upon the idea, brand and or website as-is at the time services are begun. Let us know in advance if you need to make any major changes to your brand and or website as it could significantly change our scope of work.

Change + Enhancement Requests

Requests marked with normal or minor urgency will usually be completed within 24-72 business hours. Urgent or critical requests will be handled immediately, as best our team can handle. If our team is unable to complete a request within the allotted time-frame, we will establish a mutually reasonable deadline for completion.

Support Service

Supersonic Site clients love that they can contact us online, call in or email a request at any time - without having to follow ultra-rigid change request procedures. Although we believe process is important (all requests are tracked in our project management system), it’s less important than making it easy to get in touch.

Approach to Support + Maintenance

Supersonic Sites approach to maintenance and support is proactive, focusing on creating a valuable long-term partnership with your team. Following any launch, Supersonic Sites can assist in further in providing proactive assistance, as required, for bugs, disaster recovery, and security patches.
Our core support team will be available from 9 am to 5 pm PST, Monday to Friday via online, phone and or email, with limited supported after regular business hours. For upgrades and enhancements, we will provide an estimate of hours and delivery, requiring approval before proceeding.

Back End Access

Due to the very complex rapid development of modern website systems, we are not able to train clients how to code or maintain a site. We always say websites are a lot like cars, and it would be akin to a mechanic teaching a customer how to repair an advanced computer-controlled engine; so much is changing, and security best practices are very important to keeping our client’s sites online. Any website changes or requests are just a quick contact away with our team.

Promotion

Contractor is only given authorization to provide their business name at the bottom of the website. Any use by the Contractor of the business relationship with Client or work product completed for Client for promotional purposes to gain additional clients shall require expressed written consent by the Client agreeing as to the manner in which both the Contractor and Client are represented in the promotion.

Considerations

The terms of this agreement are ongoing, with work commencing after receipt by Contractor of the agreed upon payment. Client understands that he may not hold Contractor responsible for failure of either himself or any third party hired on their behalf.

Client Responsibility & Copyright

Client will supply Contractor as required with all text, documents and other necessary materials, if applicable to the project, including but not limited to records pertaining to web site traffic, for performance of agreed upon services. It is understood that the Client affirms that they have the full copyright ownership of such materials, or that he has obtained proper permission from the copyright owner(s) for use of such materials. Client will indemnify Contractor and hold Contractor harmless against any claims of libel, copyright, or trademark infringement brought against Contractor with respect to use of those materials.

Production Schedules

Production schedules will be established and adhered to by both client and the contractor, provided that neither shall incur any liability, penalty or additional cost due to delays caused by a state of war, pandemic, riot, civil disorder, fire, labour trouble or strike, accidents, energy failure, equipment breakdown, delays in shipment by suppliers or carriers, action of government or civil authority, and acts of God or other causes beyond the control of the client or the contractor. Where production schedules are not adhered to by the client, final delivery dates will be adjusted accordingly, and the contractor reserves the right to charge additional fees if any such adjustment results in additional work or increased cost for the contractor.

Lien

All materials or property belonging to the client, as well as work performed, may be retained by the contractor until all amounts owing to the contractor by the client are satisfied in full. Services are subscription based and terminate once cancelled.

Rights of Ownership

Services are subscription based and as such there is nothing to own, and simply terminate when cancelled. Once a project has been delivered by the contractor and payment in full has been received by the contractor from the client as agreed the website will be made online. If payment is ever not made within service time periods, then website and related services will be terminated.

The contractor reserves the right to photograph and/or distribute or publish for promotional and marketing purposes any work contractor creates for client, including mock-ups and comprehensive presentations, as samples for our portfolio, newsletters, brochures, slide presentations and similar media. Client expressly agrees that contractor shall be at liberty to use work created by the contractor for such purposes.

Property & Supplier Performance

Contractor will take all reasonable precautions to safeguard all of the client’s property that is delivered to the contractor. In the absence of negligence on our part, however, we are not responsible for loss, destruction or damage or unauthorized use by others of such property.

Costs

Legal or admins fees on a solicitor or collection agency will be paid to the contractor by the client in the event that legal and additional fees are incurred with respect to any outstanding accounts related to this service agreement, proposal or these Terms & Conditions.

Termination Provisions

At any given time, either the Client or Contractor may, either individually or by mutual agreement, terminate their service agreement with Supersonic Sites by simply giving written notice to the other party. Once the client terminates their website or service is taken offline.

Please note a one-time payment of $249 plus tax is required to decommission and take ‘offline’ any website from the internet (as it takes a number of hours and many steps to complete).

Client and Contractor are in agreement that circumstances or conditions sometimes arise that may warrant or necessitate termination of the Client-Contractor working relationship. In view of this possibility, both Client and Contractor agree that should the relationship terminate, it will be done so in an amicable fashion, maintaining an attitude of cooperation and professional demeanor, with respect for the reputation and dignity of said parties.

If either the Client or the Contractor gives notice of termination, no new work shall be initiated. Any work previously authorized by the Client up to the point of receipt by the Contractor or the Client’s termination notice shall be completed. The Client agrees to be responsible for prompt payment for such services to the Contractor based upon the mutually agreed upon hourly fee. These same terms will apply in the event that either Client or Contractor should initiate termination.

Payment

In consideration and for compensation of Contractor's performance of these services on behalf of Client, Client agrees to pay the Contractor the mutually agreed upon current monthly price that is sent via the payment subscription agreement they have just agreed to and signed online.
